Terms of Use

1. Effective Date

These Terms of Use are effective from 5 July 2025.

2. Preamble

This agreement (“the Terms of Use”) governs the legal rights and obligations of users of this website (being individuals or corporate persons, “the User/Users”) and Blockbill Ltd (“Blockbill”), a company registered in the United Kingdom with company number: 12484183 and registered office at 8 Sullington Way, Shoreham-by-Sea, West Sussex, BN43 6PJ (together “the Parties”).

3. Services

This website (“the Website”) is controlled by Blockbill and provides Users with access to the following services:
  • an academic paper describing a protocol for the transmission of electronic Bills of Lading using the Liquid network (“the Whitepaper”); and
  • tools ( “the Tools”) enabling Users to interact with the development blockchain (“the Testnet Blockchain”) and/or the production blockchain (“the Liquid Blockchain”), both of the Liquid network,
  • (together, “the Services”).

    4. Agreement

    This agreement commences upon the earlier of the User accessing this website or upon the User registering an account. In consideration of Blockbill allowing the User access to the Website, and the User accessing that Website, the Parties agree to be bound by these Terms of Use. Users who do not agree to these Terms of Use must not access the Website or use the Services.

    5. Protocol

    The Tools are designed for use in accordance with the protocol set out in the Whitepaper (“the Protocol”) which forms part of these Terms of Use and may be viewed here. Users warrant they will not use the Tools to interact with the Liquid or Testnet Blockchains on the Liquid network for any purpose other than as described in the Protocol.

    6. Testnet Blockchain

    Users may use the Tools to interact with the Testnet Blockchain on the Liquid network. Users acknowledge that the Testnet Blockchain is for development and demonstration purposes only. Users warrant they will not use the Tools to interact with the Testnet Blockchain for commercial purposes. Blockbill does not charge a fee for use of the Tools on the Testnet Blockchain.

    7. Liquid Blockchain

    Users may use the Tools to interact with the Liquid Blockchain. Nominal fees (“the Fees”) are charged by Blockbill for use of some of the Tools to interact with the Liquid blockchain to cover Liquid network transaction costs.

    8. Fees

    The Fees payable are shown clearly before using a Tool and are subject to change. Fees are payable before using the relevant Tool. Fees are priced in Liquid Bitcoin (“L-BTC”) a cryptocurrency used on the Liquid network and pegged 1:1 with Bitcoin. Fees are payable by sending the required amount of L-BTC to a Liquid Blockchain address specified by Blockbill. Users are responsible for ensuring the correct Fee amount is sent to the specified address. Overpayments, underpayments or transactions to incorrect addresses may result in permanent loss of funds, and Blockbill shall not be liable for any such loss. Payment is final and fees are not refundable or transferrable between Tools or between Users.

    9. Intellectual Property

    Except where expressly licensed under the License Clause 10 below, all intellectual property rights in and to the Website, the Tools and the Whitepaper and all original software, source code, designs, databases, layouts, interfaces, content, trademarks and other materials developed by or on behalf of Blockbill (“the Proprietary Content”) are and shall remain the exclusive property of Blockbill. All rights are reserved.

    The Website incorporates and makes use of third party open-source software components, including but not limited to the Flask web framework, which are licensed under their respective open-source licences. Use of such components is governed by the terms of those licences. A list of key open-source components and links to their licences is available upon request.

    Except as expressly permitted under the applicable open-source licences or these Terms of Use, Users may not copy, reproduce, modify, distribute, transmit, display, perform, publish, licence, create derivative works from, reverse engineer, decompile, or disassemble any part of the Proprietary Content or use any trademark, logo, or trade name of Blockbill without the prior written consent of Blockbill.

    10. Licence

    The Whitepaper is an original work authored by Robert Blake (“the Author”), who retains copyright in and reserves all rights to the work. Blockbill is authorised by the Author to publish, distribute and license the Whitepaper via the Website. The Whitepaper is licensed to Users under the Creative Commons Attribution-NoDerivatives 4.0 International Licence (CC BY-ND 4.0) (“the Licence”). Under the terms of the Licence Users may share, copy and redistribute the Whitepaper provided they correctly attribute it to the Author and do not distribute any modified versions of the Whitepaper.     11. External Links

    Blockbill may provide links to useful resources, websites and other applications hosted by third parties (“External Links”). Blockbill is not responsible for the content of, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to these External Links. Users warrant they access the External Links at their own risk.

    12. Service Availability

    Blockbill endeavours to provide the Services to the User. The User acknowledges that the Services are provided without guarantee as to their availability. The User warrants they shall not rely upon the continuing provision of services by Blockbill. Blockbill shall not be liable for any non-availability of services attributable to any service disruption, data loss, dispute, maintenance or malicious or cyberattack upon its servers, computers, internet connections or website.

    13. Exclusion and Limitation

    Blockbill shall not be liable for any loss, damage, interest or costs, including indirect or consequential losses to the User attributable to any action, omission or negligence of Blockbill or any third party. In any event the liability of Blockbill to the User shall be capped at the total amount paid by the User to Blockbill in the six months prior to any alleged loss.

    14. Independent Advice

    Blockbill does not provide legal, financial, investment, or professional advice of any kind. Users are solely responsible for ensuring compliance with all necessary legal and regulatory obligations in their jurisdiction(s) and are advised to seek independent advice before relying on the Services for any commercial or legal purpose.

    15. Regulatory Compliance

    Blockbill makes no representation as to the regulatory status of the Services or any User activity in any jurisdiction(s). Users are solely responsible for determining whether their use of the Tools complies with applicable financial services, commodities, securities, data protection, or other regulations in their jurisdiction(s). Blockbill shall not be liable for any failure by the User to comply with such laws.

    16. Prohibited Jurisdictions

    Users warrant that they are not located in or acting on behalf of any person or entity located in a jurisdiction subject to sanctions or restrictions under applicable UK or international law, including but not limited to embargoed or sanctioned states.

    17. Insurance

    Users warrant they have all insurance cover and insurer and/or P&I Club approval, including but not limited to Protection & Indemnity cover and/or Freight Demurrage and Defence cover, required to use the Tools to conduct any commercial transactions including the issue, endorsement, transfer, proving and verification of control, destruction and verification of destruction of any electronic Bill of Lading as set out in the Protocol.

    18. Conduct

    Users warrant they will not use the Website, the Whitepaper or the Tools to conduct or facilitate any unauthorised access, misuse of content, malicious, sanctioned or unlawful activities including but not limited to those specified in the Computer Misuse Act 1990. Users warrant they shall comply with all applicable laws and regulations in England & Wales as well as their jurisdiction(s) of domicile and business.

    19. Termination

    Should the User fails to comply with any of these Terms of Use or engage in any malicious or unlawful conduct Blockbill may suspend or terminate the Users' access without notice.

    20. Lien

    Should the User fail to pay by the due date any sum required under these Terms of Use or any other agreement made between the Parties Blockbill may suspend or terminate services to the User without notice, and may lien the transfer of control of any tokenised assets created or managed by Users using the Tools (“the Issued Assets”) which remain under their control until the outstanding payment is received in full.

    21. Force Majeure

    Blockbill shall be not liable for losses attributable to events beyond its reasonable control including but not limited to natural disasters, terrorism, market suspension, and acts of local, state, or national governments, regulatory and supernational authorities.

    22. Indemnity

    The User agrees to indemnify Blockbill against any and all loss, damage, interest and costs resulting from the actions, omissions or negligence of the User or any third party.

    23. Representations

    The User agrees they have not received and do not rely upon any representations made prior or subsequent to this agreement.

    24. Third Party Rights

    These Terms of Use do not create and do not purport to confer any benefit upon any third party within the meaning of the Contacts (Rights of Third Parties) Act 1999 or at all.

    25. Assignment

    Users may not assign, subcontract, delegate or otherwise transfer their rights or obligations under this agreement without the prior written consent of Blockbill, and any attempted assignment, subcontract, delegation or other transfer shall be null and void.

    26. Waiver

    Any delay or omission by Blockbill in the exercise of any rights under this agreement shall not constitute a waiver of those rights, an affirmation of this agreement, or a representation that such rights will not be subsequently enforced.

    27. Severability

    If any term of this agreement is found to be void or unenforceable the remaining terms shall continue in full force and effect.

    28. Supplemental Terms

    The Blockbill Privacy Notice, Cookies Policy, the Protocol contained within the Whitepaper and the Creative Commons Attribution-NoDerivatives 4.0 International Licence (CC BY-ND 4.0) (together “the Supplemental Terms”) are incorporated into these Terms of Use and may be viewed at the links provided.

    29. Entire Agreement

    These Terms of Use, including the Supplemental Terms, constitute the entire agreement and understanding between the parties and supersedes any prior or subsequent communication, written or oral, between the Parties.

    30. Amendment

    These Terms of Use are subject to change by Blockbill at any time and at the sole discretion of Blockbill. When changes are made Blockbill will make a new copy of the Terms of Use available on the Website and will update the Effective Date at the top of these Terms of Use. Users warrant they will check these Terms of Use for amendments on each occasion when accessing the Website and before using the Services. Continued accessing of the Website and/or use of the Services by the User shall constitute agreement to the amended Terms of Use. If the User does not agree to any changes to these Terms of Use after receiving such notice, you agree to stop accessing the Website and using the Services. No other variation to these Terms of Use shall be effective unless in writing and signed by an authorised representative of Blockbill.

    31. Governing Law and Jurisdiction

    This agreement shall be subject to the laws of England & Wales and disputes shall be subject to the jurisdiction of the Courts of England & Wales. Blockbill may, at its sole discretion, agree to engage in Alternative Dispute Resolution including arbitration.

    32. Interpretation

    This agreement is made in English and in the event of any conflict in meaning between this English version and any translation into another language the English language meaning shall prevail.

    33. Enquiries

    For any enquiries relating to these Terms of Use or the Services, Users may contact Blockbill using the Contact Form. This form is provided solely for general correspondence. Nothing in these Terms of Use shall be construed as Blockbill consenting to accept service of court proceedings or other formal legal process by electronic means unless expressly agreed in writing. Service of any such documents must be made in accordance with the applicable Rules of Court or as otherwise agreed.
